Whether an organization opts for a comprehensive agreement, local agreements or a combination of the two, the parties should be careful to avoid certain common pitfalls: the terms and conditions of global agreements cannot deal with certain situations. Parties who use a comprehensive agreement often rely on the fact that they have a master`s contract and, therefore, local representatives of the parties cannot spend time (in writing) on the specific terms of a deal made by their specific divisions, subsidiaries or related companies. For example, a subsidiary may issue a cash order for general terms and conditions that have an insufficient liability limit to cover the risks associated with that contract. Local or “site-specific” agreements relate to specific agreements on location or installation. These agreements are negotiated separately by each division, subsidiary or subsidiary, although they can carry out all transactions with the same service provider.
